1. Acceptance of Terms
Welcome to Conformatiq ("Service," "Platform," "we," "us," or "our"). These Terms of Use ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Conformatiq regarding your access to and use of the Conformatiq platform, located at https://conformatiq.com, including all associated services, software, applications, and content.
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
2. Description of Service
Conformatiq provides a Software-as-a-Service (SaaS) platform designed to assist organizations in achieving and maintaining compliance with the Cybersecurity Maturity Model Certification (CMMC) framework. The Service includes, but is not limited to:
- CMMC assessment and gap analysis tools
- Compliance tracking and documentation management
- Security control implementation guidance
- Reporting and audit preparation features
- Automated compliance monitoring capabilities
The Service is intended for use by organizations seeking CMMC certification and compliance professionals assisting such organizations.
3. Eligibility and Account Registration
3.1 Eligibility
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.
3.2 Account Registration
To access certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your account credentials
- Notify us immediately of any unauthorized access or security breach
- Accept responsibility for all activities that occur under your account
You may not share your account credentials or allow others to access your account. We reserve the right to suspend or terminate accounts that violate these Terms.
3.3 Corporate Accounts
If you are registering on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
4. Subscription and Payment Terms
4.1 Subscription Plans
The Service is offered through various subscription plans with different features, usage limits, and pricing. Current subscription options are detailed on our website.
4.2 Fees and Payment
You agree to pay all fees associated with your selected subscription plan. All fees are:
- Stated in U.S. Dollars unless otherwise specified
- Charged in advance on a recurring basis (monthly or annually)
- Non-refundable except as expressly stated in these Terms or required by law
- Subject to applicable taxes, which you are responsible for paying
4.3 Payment Authorization
By providing payment information, you authorize us to charge your designated payment method for all fees. You must maintain valid payment information throughout your subscription period.
4.4 Price Changes
We reserve the right to modify our pricing with at least 30 days' advance notice. Price changes will apply to subsequent billing periods. Continued use of the Service after price changes constitutes acceptance of the new pricing.
4.5 Late Payment
If payment is not received or your payment method fails, we may suspend or terminate your access to the Service. You remain responsible for all unpaid fees, plus interest at the rate of 1.5% per month (or the maximum permitted by law).
4.6 Free Trials
We may offer free trial periods. At the end of the trial period, you will be automatically charged for your selected subscription plan unless you cancel before the trial ends. We reserve the right to modify or discontinue free trials at any time.
5. Acceptable Use Policy
5.1 Permitted Use
You may use the Service solely for its intended purpose of CMMC compliance assessment and management in accordance with these Terms and applicable laws.
5.2 Prohibited Activities
You agree not to:
- Violate any applicable local, state, national, or international law
- Infringe upon or violate our intellectual property rights or those of others
- Upload, transmit, or distribute malicious code, viruses, or harmful software
- Attempt to gain unauthorized access to the Service, other accounts, or computer systems
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to transmit spam, chain letters, or unsolicited communications
- Scrape, spider, or use automated means to access the Service without permission
- Reverse engineer, decompile, or disassemble any portion of the Service
- Remove, alter, or obscure any proprietary notices on the Service
- Use the Service for any illegal, fraudulent, or malicious purpose
- Resell, sublicense, or redistribute the Service without authorization
- Use the Service to compete with us or develop competing products
- Share your account credentials or allow unauthorized users to access your account
- Upload content containing personally identifiable information without proper authorization
- Circumvent any access restrictions or security measures
- Use the Service in any manner that could damage our reputation or business
5.3 Enforcement
We reserve the right to investigate violations of these Terms and take appropriate action, including suspension or termination of your account, removal of content, and reporting to law enforcement authorities.
6. Intellectual Property Rights
6.1 Our Intellectual Property
The Service, including all software, content, trademarks, logos, and visual interfaces, is owned by Conformatiq and protected by intellectual property laws. All rights, title, and interest remain with Conformatiq. These Terms do not grant you any ownership rights to the Service.
6.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. This license does not include the right to:
- Copy, modify, or create derivative works of the Service
- Distribute, sell, lease, or sublicense the Service
- Reverse engineer or attempt to extract source code
- Use the Service for any commercial purpose other than your internal business operations
6.3 Customer Data
You retain all rights to data, documents, and information you upload to the Service ("Customer Data"). By uploading Customer Data, you grant us a limited license to use, store, and process Customer Data solely to provide the Service to you.
6.4 Feedback
If you provide feedback, suggestions, or ideas about the Service, we may use such feedback without any obligation to you, including incorporating it into the Service without compensation.
7. Data Privacy and Security
7.1 Privacy Policy
Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.
7.2 Data Security
We implement reasonable security measures to protect Customer Data. However, no system is completely secure, and we cannot guarantee absolute security. You are responsible for maintaining the security of your account credentials.
7.3 Data Backup
While we maintain regular backups, you are responsible for maintaining your own backup copies of Customer Data. We are not liable for any loss or corruption of Customer Data.
7.4 Compliance Data
You acknowledge that compliance-related data processed through the Service may be subject to specific regulatory requirements. You remain solely responsible for ensuring your use of the Service complies with applicable regulations.
8. Third-Party Services and Links
The Service may contain links to third-party websites or integrate with third-party services. We do not control, endorse, or assume responsibility for third-party content or services. Your use of third-party services is at your own risk and subject to their terms and conditions.
9. Disclaimers and Limitations of Liability
9.1 No Warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR SECURITY.
WE DO NOT WARRANT THAT:
- The Service will be uninterrupted, secure, or error-free
- Defects will be corrected
- The Service is free of viruses or harmful components
- Results obtained from the Service will be accurate or reliable
9.2 Not Legal or Compliance Advice
THE SERVICE IS A TOOL TO ASSIST WITH CMMC COMPLIANCE EFFORTS. IT DOES NOT CONSTITUTE LEGAL ADVICE, COMPLIANCE ADVICE, OR PROFESSIONAL CONSULTING SERVICES. WE DO NOT GUARANTEE THAT USE OF THE SERVICE WILL RESULT IN CMMC CERTIFICATION OR COMPLIANCE WITH ANY REGULATORY REQUIREMENTS.
You are solely responsible for:
- Interpreting and applying CMMC requirements to your organization
- Ensuring compliance with applicable laws and regulations
- Seeking appropriate professional advice
- Making final compliance decisions
9.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONFORMATIQ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR USE
- BUSINESS INTERRUPTION OR LOSS OF GOODWILL
- ANY DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE
WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9.4 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
9.5 Exceptions
Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Conformatiq and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any rights of third parties
- Your Customer Data or content you submit
- Your violation of any applicable laws or regulations
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.
11. Term and Termination
11.1 Term
These Terms remain in effect while you use the Service or maintain an account.
11.2 Termination by You
You may terminate your account at any time through your account settings or by contacting us. Termination does not entitle you to a refund of prepaid fees.
11.3 Termination by Us
We may suspend or terminate your account and access to the Service immediately, without notice, if:
- You violate these Terms
- Your payment method fails or you fail to pay fees
- We discontinue the Service
- Required by law or government authority
- Your use poses a security or legal risk
11.4 Effect of Termination
Upon termination:
- Your right to access the Service immediately ceases
- You remain responsible for all fees incurred prior to termination
- We may delete your account and Customer Data after a reasonable grace period
- Provisions that by their nature should survive termination shall survive
11.5 Data Retrieval
You may request a copy of your Customer Data within 30 days of termination. After this period, we may permanently delete your data.
12. Modifications to the Service and Terms
12.1 Service Changes
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.
12.2 Terms Changes
We may update these Terms from time to time. We will provide notice of material changes by:
- Posting the updated Terms with a new "Last Updated" date
- Sending notice to your registered email address
- Displaying a notification on the Service
Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.
13. Dispute Resolution
13.1 Informal Resolution
Before filing a claim, you agree to contact us at legal@conformatiq.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute informally for at least 30 days.
13.2 Binding Arbitration
If informal resolution fails, any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
The arbitration shall be:
- Conducted by a single arbitrator
- Held in [Your State/Location]
- Governed by the Federal Arbitration Act
- Subject to limited discovery as determined by the arbitrator
The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
13.3 Class Action Waiver
YOU AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION.
13.4 Exceptions to Arbitration
Either party may bring a claim in small claims court if it qualifies. Either party may seek injunctive relief in court to protect intellectual property rights.
13.5 Governing Law
These Terms are governed by the laws of [Your State], United States, without regard to conflict of law principles. Any claim not subject to arbitration shall be brought exclusively in the state or federal courts located in [Your County, State].
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Conformatiq regarding the Service and supersede all prior agreements.
14.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
14.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
14.5 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemics, natural disasters, labor disputes, or internet/telecommunications failures.
14.6 Export Compliance
You agree to comply with all export and import laws and regulations. You represent that you are not located in a country subject to U.S. embargo or designated as a "terrorist supporting" country, and that you are not on any prohibited party list.
14.7 Government Users
If you are a U.S. government entity, the Service is a "Commercial Item" as defined in FAR 2.101, and use is governed by these Terms.
14.8 No Agency
These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Conformatiq.
14.9 Notices
Notices to you may be sent to your registered email address. Notices to us should be sent to legal@conformatiq.com or the physical address provided on our website.
14.10 Language
These Terms are drafted in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.
